The Competition and Markets Authority (CMA) has launched an investigation into the acquisition of a Northampton-based specialist fleet services business by NRG Fleet Services.<\/p>\n
An initial enforcement order was issued on 10 August 2026 after the regulator found reasonable grounds to suspect that NRG and Specialist Fleet Services (SFS) had ceased to operate as distinct businesses.<\/p>\n
The CMA is now considering whether the deal has created a relevant merger situation and whether it could lead to a substantial lessening of competition in UK markets.<\/p>\n
Pending the outcome of the investigation, strict controls have been placed on how the two businesses operate. The order is designed to prevent the integration of the companies while allowing the CMA to assess the potential impact of the transaction.<\/p>\n
SFS must continue to operate separately from NRG, retaining its existing brand and sales operations. Both businesses are also required to remain viable and adequately resourced, broadly in line with their pre-acquisition business plans.<\/p>\n
Restrictions cover a range of areas, including management structures, staffing, IT systems, assets, customer and supplier relationships and commercially sensitive information.<\/p>\n
Key employees cannot be transferred between the businesses, while customer and supplier lists must continue to be managed separately. Existing contracts are also expected to remain with the business to which they were originally awarded.<\/p>\n
The order involves NRG Fleet Services, a subsidiary of Project Ribble Holdco, which is ultimately backed by funds managed by private equity firm Astatine Investment Partners.<\/p>\n
Specialist Fleet Services provides specialist fleet management and related services to commercial and public sector customers.<\/p>\n
The CMA’s action does not prevent the acquisition from proceeding. Instead, the enforcement order preserves the independence of the two businesses while the regulator determines whether further merger control action is required.<\/p>\n
Regular compliance reports will be submitted to the CMA, with the first statement due on 27 August 2026 and further updates required every two weeks.<\/p>\n
The regulator must also be kept informed of significant developments, including changes to key personnel, major customer wins or losses, interruptions to operations and changes involving key suppliers.<\/p>\n
Failure to comply with the order could result in civil enforcement action and financial penalties. The Enterprise Act 2002 also makes it a criminal offence to knowingly or recklessly provide materially false or misleading information to the CMA.<\/p>\n
