Allied Filter Systems of Irlam sold to private equity backed industry challenger

Irlam-based filter bag manufacturer Allied Filter has been acquired by Cleanova, a manufacturer of industrial filtration systems which was formed to shake up this part of the industrial market.

Allied Filter operates from three UK manufacturing facilities using innovative, custom-designed production techniques and traditional manufacturing methods.

Cleanova is a portfolio company of PX3 Partners, a London headquartered private equity firm. It has locations in the US, UK, Ireland, and India, and was formed as Cleanova following the sale of Celeros Flow Technology’s Filtration division in October 2023.

The acquisition supports Cleanova’s strategic vision to expand globally and solidify its leadership in the industrial filtration market.

Cleanova’s CEO, Javaid Riaz, commented: “This acquisition marks another significant milestone for Cleanova. We are truly excited about the opportunities this new acquisition brings and to partner with Allied Filter’s founders, Daniel and Chris Thompson, and their management team. The acquisition enhances our technical capabilities, broadens our product portfolio, and accelerates our expansion into new end-markets, all while reinforcing our commitment to delivering exceptional value to our customers.”

Allied Filter Systems turned over £7.14m in the last year for which accounts are available, making £1.8m in pre-tax profits. The business employs 62 people across the three sites.

It sells to over 30 countries and operates from three UK manufacturing facilities.

Liquid filter bags are manufactured at two facilities in the Manchester area. The Irlam site has undergone two major expansions and the Eccles site was established to further increase production capacity in 2018.

Stainless steel bag filter housings, cartridge filter housings and strainers are manufactured at a site in Warrington.

The acquisition of Allied Filter will enable Cleanova to leverage Allied Filter’s engineering expertise in filter bags, production capabilities and distribution networks to accelerate its expansion in the UK, while allowing Allied Filter to leverage Cleanova’s global production and sales network to fuel its own growth.

KPMG advised Allied Filter on the transaction. Cleanova was advised by Alvarez & Marsal as financial and tax adviser; Aon as benefits, insurance, and pension adviser; Debevoise & Plimpton as tax structuring adviser; Osborne Clarke as financing legal adviser; and Perkins Coie as legal adviser.
