Headlam sells Netherlands arm as UK-only focus sharpens
Coleshill-based flooring distributor Headlam Group has completed the sale of its Netherlands operations to SIL 2025, a company managed by Rcapital Partners, as part of its ongoing strategic review.
The transaction covers Headlam’s Netherlands businesses, Headlam Holdings B.V., Headlam B.V. and Dersimo B.V. Gross consideration for the sale is €850,000, with net proceeds after costs of around €170,000 to be used for general working capital.
The disposal marks a further step in Headlam’s strategy to simplify the group and focus solely on its UK operations, following a transformation programme launched last year after the group’s half-year results showed widening losses amid a prolonged downturn in the flooring market.
That plan was upsized to target at least £35m in annual profit improvements by the end of 2026, supported by network consolidation, centralised buying and a reduced warehouse footprint.
Rob Barclay, chief executive of Headlam, said: “The completion of the sale of our Netherlands businesses marks another step towards creating a simpler, more focused Headlam, centred solely on the UK market. We are pleased to have reached an outcome that provides the Netherlands businesses with a focused ownership structure and the support of an experienced investor.”
It follows a period of boardroom tension earlier this year, when activist investor First Seagull sought to remove three directors, a move Headlam’s board successfully resisted with backing from its two largest shareholders.
