Leeds transport technology group Tracsis has agreed a \u00a348m deal to buy rail software specialist Mistral Data from FirstGroup in a move that significantly strengthens its recurring software revenues and deepens its presence in the UK’s rail sector.<\/p>\n
The AIM-listed business said the acquisition marks ‘a highly strategic moment’ as it accelerates its transition from a transport services provider towards a scalable, higher-margin software business.<\/p>\n
Mistral Data develops cloud-based software used by train operators to communicate with passengers, manage revenue, monitor rolling stock and analyse operational performance. Around 85% of its revenues are recurring under long-term contracts, making it an attractive addition to Tracsis’ growing software portfolio.<\/p>\n
For the 12 months to 31 March 2026, Mistral generated around \u00a313m of revenue and adjusted EBITDA of approximately \u00a34m, representing a margin of around 30%.<\/p>\n
The acquisition, which will be funded through existing cash resources and debt facilities, is expected to be earnings-enhancing and margin-accretive from completion.<\/p>\n
Chief executive David Frost said the deal comes at a pivotal moment for the rail industry. “The proposed acquisition of Mistral Data is a highly strategic moment for Tracsis,” he said. “Mistral Data is a high-quality business in the market we know best, with products that complement rather than compete with our own.<\/p>\n
“Its products are built on a modern, cloud-native platform that delivers strong recurring revenues and high margins. Together, these attributes accelerate our transition to a scalable software product business.”<\/p>\n
Frost said the deal also positions the enlarged group to benefit from the industry’s ongoing transformation as Great British Railways takes shape.<\/p>\n
“Operators need smarter, more integrated tools to support safer operations, improve punctuality, protect revenue, keep fleets running and enhance the passenger experience \u2013 with less reliance on fragmented legacy in-house systems,” he said.<\/p>\n
“We believe the combined Group will be well placed to meet this demand.”<\/p>\n
The acquisition expands Tracsis’ software capabilities with products that complement its existing rail technology offering and introduces two new train operating company customers.<\/p>\n
Completion remains subject to approval from the Competition and Markets Authority and other customary conditions, with the deal expected to complete by the end of October.<\/p>\n
The transaction is the latest step in Tracsis’ strategy to increase the proportion of recurring software revenues, with Mistral’s cloud-native platform expected to help the group develop and deploy software products more quickly across both existing and future customers.<\/p>\n","protected":false},"excerpt":{"rendered":"
