The battle for Harworth has barely been under way a week, but it is already shaping up as a fight for the Yorkshire regeneration group’s independence.<\/p>\n
Last Thursday, Manchester property giant Peel launched its audacious \u00a3583m bid to take full control of Harworth, offering 172.5p a share for the stock it does not already own.<\/p>\n
Just 24 hours later, Harworth hit back with a blunt rejection.<\/p>\n
Its board was \u201cunanimous and unequivocal\u201d in rejecting the offer, arguing that it \u201cfundamentally undervalues\u201d the business and its near and longer-term prospects.<\/p>\n
And that sets up what could become a very interesting battle over the future of one of the North’s biggest land and regeneration businesses.<\/p>\n
Peel is already Harworth’s largest shareholder, with just under 30% of the company through Goodweather Holdings. Its offer would take the business private and bring the remaining shares under its control.<\/p>\n
But Harworth clearly has no intention of simply handing over the keys.<\/p>\n
The company’s argument is that Peel has chosen its moment carefully \u2013 taking advantage of a gap between Harworth’s depressed share price and what the board believes is the much greater underlying value of its assets.<\/p>\n
That is a particularly important argument given what is now sitting in Harworth’s development pipeline.<\/p>\n
The company controls more than 15,000 acres across the North of England and the Midlands, with the potential to deliver around 35 million sq ft of employment space and enable more than 29,000 homes.<\/p>\n
And then there is the data centre opportunity.<\/p>\n
Harworth has a 0.8GW power-enabled land bank at a time when access to electricity has become one of the most valuable commodities in the race to build AI and hyperscale computing infrastructure.<\/p>\n
It has already sold a site to Microsoft for a \u00a3106.6m data centre development and, in its latest trading update, revealed that negotiations on a second hyperscale site were at an advanced stage. That deal is expected to be worth more than the Microsoft transaction.<\/p>\n
That is where the takeover argument gets interesting and\u00a0may also help explain why Peel has chosen to strike now.<\/p>\n
AJ Bell investment director Russ Mould suggested that the growing enthusiasm for AI could be one factor behind the approach.<\/p>\n
Mould said the news may have \u201cfocused Peel Group\u2019s mind\u201d,<\/strong>\u00a0particularly as Harworth\u2019s share price has risen to meet Peel\u2019s 172.5p cash offer.<\/p>\n There is also, he suggested, a broader shift under way in the UK property market, with investors increasingly looking for long-term value in bricks and mortar.<\/p>\n Peel sees an opportunity to buy a listed business whose shares have been trading below the value of its assets.<\/p>\n Harworth sees a business on the cusp of unlocking potentially significant new value from those same assets.<\/p>\n The board is asking shareholders to take the longer view.<\/p>\n It points to an average 8.1% total accounting return over the past five years and says its track record demonstrates that the strategy can deliver for investors.<\/p>\n Peel’s response is effectively that shareholders should take the cash while it is on the table.<\/p>\n Its \u00a3582.9m offer represents a 20.1% premium to Harworth’s closing share price before the bid was announced and a 36% premium to its three-month volume-weighted average price.<\/p>\n But there is a sting in the tail.<\/p>\n If Peel wins, this would not simply be a change of ownership. Peel has already indicated that it would undertake a strategic review, while arguing that Harworth’s existing development-led model is too capital intensive.<\/p>\n It has also warned that the acquisition could result in a \u201csignificant headcount reduction\u201d, with overlapping corporate and support functions likely to come under scrutiny.<\/p>\n Harworth employed 146 people at the end of 2025.<\/p>\n Its Rotherham headquarters and senior management structure could also face review if Peel succeeds.<\/p>\n So the stakes are considerably higher than the 172.5p headline offer suggests.<\/p>\n This is about whether Harworth remains a publicly listed Yorkshire regeneration business with its own strategy and management team \u2013 or becomes another part of Peel’s privately owned property empire.<\/p>\n For now, Harworth’s message to shareholders is simple: don’t take the money yet.<\/p>\n The company believes Peel has arrived just as the value of its land bank is beginning to emerge, particularly through the rapidly growing data centre market.<\/p>\n Peel, meanwhile, believes the market has been waiting too long for that value to materialise.<\/p>\n That leaves shareholders caught between two very different propositions.<\/p>\n One offers certainty and \u00a3583m in cash.<\/p>\n The other asks investors to stay the course and back Harworth’s belief that its best days may still be ahead.<\/p>\n And that is why this is shaping up as much more than a takeover bid.<\/p>\n It is a fight over who gets to capture the next chapter of value from more than 15,000 acres of Yorkshire and Midlands land.<\/p>\n Harworth’s board has made its position clear.<\/p>\n Now it has to convince its shareholders to stand with it.<\/p>\n","protected":false},"excerpt":{"rendered":" Harworth has rejected Peel\u2019s takeover bid as an opportunity to seize the company just as its land bank, data centre pipeline and long-term regeneration strategy are poised to unlock far greater value \u2014 setting the stage for a high-stakes fight over its future, independence and the confidence of shareholders<\/p>\n","protected":false},"author":271992,"featured_media":2141874,"comment_status":"open","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"footnotes":""},"categories":[137137,9],"coauthors":[137100],"class_list":["post-2158715","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-analysis","category-property","tag-yorkshire"],"yoast_head":"\n
