£18.5m deal sees Capita acquire Talis

BIRMINGHAM-based information services provider Talis has been bought by Capita for £18.5m.

The £7m turnover company, which specialises in semantic web solutions for libraries and universities, employs 42 people and is based on Birmingham Business Park.

Capita said the acquisition was made on a cash-free, debt-free basis of £18.5m, plus up to a further £2.5m depending on TIL’s profit performance in the year to March 31, 2012.

The group said the acquisition would add valuable new expertise and capabilities to Capita’s existing products for the academic and public sector.

With a range of around 100 academic and public library clients, TIL is a market leader in its sectors, providing management software and managed services. TIL made an operating profit, on a pro forma basis, of £3.5m on turnover of £7m for the year ended March 31, 2010.

Paul Pindar, chief executive of Capita said: “The acquisition of Talis
Information Limited will enable Capita to offer a wider set of services to the further and higher education markets and to local authorities, where we have a strong client base.”

The deal increases Capita’s interests in Birmingham. Last month, the city council agreed a five-year contract extension with the group. The agreement will see Service Birmingham – the joint venture created between the city council and Capita – extend the provision of ICT support and contact centre services from 2016 to 2021.
